Terms of Service

1. Who we are and who may use Marge

Marge is an AI-assisted marketing service provided by Peradigm Inc., based in Calgary, Alberta, Canada (“Marge,” “we,” “us,” or “our”). These Terms apply to our websites, app, and related services. By creating an account or purchasing a subscription, you agree to these Terms. If you use Marge for an organization, you confirm you have authority to bind it to these Terms. You must be old enough to enter a binding agreement where you live.

2. The service and your decisions

Marge helps you plan, draft, organize, approve, schedule, and manage marketing content. Features, usage limits, integrations, and availability depend on your plan and may change as the service develops. AI outputs can be inaccurate, incomplete, or similar to outputs given to others. You are responsible for reviewing facts, claims, permissions, and legal compliance before you use or publish content. Marge does not guarantee sales, reach, or other marketing results.

You remain responsible for actions you authorize through connected accounts, including scheduled or published content. Review your approval settings and connected-account permissions carefully.

3. Accounts and acceptable use

Provide accurate account information, protect your credentials, and tell us promptly at [email protected] if you suspect unauthorized access. You are responsible for activity by people you invite to your workspace, subject to applicable law.

Do not use Marge to break the law, infringe another person's rights, send spam, create deceptive or harmful content, interfere with the service, probe its security without authorization, or access another customer's data. We may limit or suspend access when reasonably necessary to address abuse, security, legal requirements, or unpaid charges.

4. Subscriptions, charges, and taxes

Plan prices, billing interval, any one-time fee, applicable taxes, and the total due are shown before checkout. Essentials and Growth do not carry an onboarding fee. A one-time onboarding fee applies only to Marge in Charge when disclosed at checkout. Subscriptions renew automatically for the interval shown at checkout until canceled. You authorize our payment processor, Stripe, to charge the payment method you provide for the amounts shown at checkout and subsequent renewals.

If we change a subscription price, we will give advance notice required by law and tell you when the new price will apply. Taxes may vary by location. You may cancel before a new price takes effect.

5. Cancellation and refunds

You may cancel at any time through the billing area of your Marge account, which opens Stripe's billing portal when available, or by emailing [email protected]. Cancellation stops the next renewal; access continues through the end of the period already paid for, unless we must suspend it for a reason described in these Terms. We consider refund requests individually. Email support with your account email and the charge in question. Nothing here limits a refund, cancellation, or other right that applicable law does not allow us to exclude.

6. Your content and AI outputs

You keep your rights in the materials you upload or provide. You give Marge a limited, non-exclusive right to host, copy, process, and display them solely to operate the service, carry out your instructions, protect the service, and meet legal obligations. You confirm that you have the rights and permissions needed for materials, accounts, and instructions you provide.

As between you and Marge, you may use outputs generated for your workspace, subject to applicable law and third-party rights. We do not claim ownership of your original materials or grant you rights in a third party's work. You are responsible for checking outputs before use. We do not use your private workspace content to train our own general-purpose AI models. Our Privacy Policy explains the providers that process content to deliver AI features.

7. Third-party services

Optional connections and payment services are provided by third parties, including social platforms and Stripe, under their own terms and privacy policies. You decide which accounts to connect and must maintain any required permissions. We cannot guarantee that a third-party service will remain available or work without interruption.

8. Privacy, export, and deletion

Our Privacy Policy explains how we handle personal information. Workspace owners can use the app's export and deletion tools where available or contact [email protected] for assistance. We may retain limited information when needed for legal, security, accounting, or dispute purposes as described in that policy.

9. Service changes and termination

We may update features or discontinue parts of Marge. If a change materially reduces a paid service, we will give reasonable notice where practicable and provide any remedy required by law. We may suspend or end access for a material breach of these Terms, nonpayment, security risk, or legal requirement, with notice where reasonably possible. You may stop using Marge and cancel under section 5. When access ends, your ability to use the app or export data may end; contact us promptly if you need an export.

10. Warranties and liability

We work to provide a reliable service, but Marge is supplied on an “as available” basis. To the extent the law permits, we do not promise uninterrupted operation, error-free AI output, or a particular business result. To the extent the law permits, neither party is liable to the other for indirect or consequential losses, including lost profits or business opportunities. To the extent the law permits, our total liability arising from the service is limited to the fees you paid us for Marge in the 12 months before the event giving rise to the claim. These limits do not apply where the law forbids them or to liability for fraud, willful misconduct, or amounts that cannot lawfully be limited.

11. Changes and disputes

We may update these Terms. We will post the new version with an effective date and give notice of material changes when required. Continued use after the new effective date means you accept the updated Terms, where the law permits; otherwise you may stop using the service and cancel.

Contact [email protected] first so we can try to resolve a dispute. These Terms are governed by the laws of Alberta and the applicable laws of Canada, and disputes may be brought before the courts of Alberta, except where mandatory law gives you rights or a forum that cannot be waived.
